Applicable Law to Contractual Obligations: A Study on the Influence of EU Regulations on Turkish Law

Abstract

As with many other areas, Turkey has implemented regulations in the field of private international law that are compatible with EU legislation as part of its European Union (EU) harmonisation process. However, in the drafting of art.24 of Law No. 5718 on Private International Law and Procedural Law (MÖHUK), which regulates the law applicable to contracts, the 1980 Rome Convention and the amended Draft Regulation, which were the previous regulations, were taken into account instead of the Rome I Regulation, which is currently in force. The reason for this is that the MÖHUK was completed prior to the adoption of the Regulation. This situation has resulted in a regulation that has not been applied in the EU since 2009 still being effective in Turkish law. This study will examine the long-term impact of EU law on art.24 of the MÖHUK, which is the general conflict-of-law rule for contracts under Turkish law. In this context, the conflict-of-law rules of the Rome I Regulation concerning contractual obligations will be examined, taking into account the Rome Convention, which forms the basis of this text. Subsequently, the provisions of the Rome I Regulation will be compared with art.24 of the MÖHUK, which regulates contractual obligations. The effects of the Convention and the Regulation on the MÖHUK will be concretely demonstrated, and alternative proposals for the current provision will be presented.
Türkiye’nin Avrupa Birliği (AB) uyum süreci kapsamında pek çok konuda olduğu gibi milletlerarası özel hukuku alanında da AB mevzuatıyla uyumlu düzenlemelerin yapıldığı görülmektedir. Ancak, 5718 sayılı Milletlerarası Özel Hukuk ve Usul Hukuku Hakkında Kanun’un (MÖHUK), sözleşmelere uygulanacak hukuka ilişkin 24’üncü maddesinin düzenlenmesinde halihazırda yürürlükte olan Roma I Tüzüğü yerine, önceki düzenleme olan 1980 Roma Konvansiyonu ve değişikliğe uğrayan Tüzük Teklifi dikkate alınabilmiştir. Bunun sebebi ise MÖHUK’un, Tüzüğün kabulünden önceki bir tarihte tamamlanmasıdır. Bu durum, 2009’dan bu yana AB’de uygulaması olmayan bir düzenlemenin Türk hukukunda hala etkili olması sonucunu doğurmuştur. Çalışmada, Türk hukukundaki sözleşmelere ilişkin genel bağlama kuralı olan MÖHUK m.24 üzerindeki AB hukuku etkisi incelenecektir. Bu kapsamda, Roma I Tüzüğü’nün sözleşmelerden doğan borç ilişkilerine ilişkin bağlama kuralları, bu metnin temelini oluşturan Roma Konvansiyonu da göz önünde bulundurularak ele alınacaktır. Devamında ise Roma I Tüzüğü düzenlemeleri ile sözleşmeden doğan borç ilişkilerini düzenleyen MÖHUK m.24 karşılaştırılacak, Konvansiyon ve Tüzüğün MÖHUK üzerindeki etkileri somut olarak ortaya konularak, mevcut hüküm için alternatifler sunulacaktır.
